Article I — Name, Description & Purpose
- Section 1 — Name. The name of the organization shall be Pleasant Hill PTO. The PTO is located at Pleasant Hill Elementary, 434 W Illinois Ave, Palatine, IL 60067.
- Section 2 — Description. The PTO is a nonprofit organization that exists for charitable, educational, and scientific purposes, including the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code.
- Section 3 — Purpose. Enhance and support the educational experience at Pleasant Hill Elementary, develop a closer connection between school and home by encouraging community involvement, and improve the environment at Pleasant Hill Elementary through volunteer and financial support.
Article II — Membership
Section 1. Membership is automatically granted to all parents and guardians of Pleasant Hill students, plus all staff at Pleasant Hill Elementary. There are no membership dues. Members have voting privileges — one vote per member.
Article III — Officers
- Section 1 — Executive Board. Officers: President, Recording Secretary, Communications Secretary, and Treasurer. The School Principal is not an Executive Board member; however, the Principal or his/her designee is a voting member of the PTO.
- Section 2 — Term of Office. One-year terms beginning immediately upon election and ending when new officers are elected the following school year. Officers may serve a maximum of two consecutive terms in the same position. If no other members express interest at term end, the current officer may continue to serve until a successor is elected.
- Section 3 — Qualifications. Any PTO member in good standing may become an officer.
- Section 4 — Duties.
- Executive Board: Develop the PTO’s annual budget; establish and oversee committees; establish fundraising programs; approve by majority vote unbudgeted expenditures of no more than $200.00.
- President: Preside at General and Executive Board meetings; prepare agendas for official meetings; serve as the official representative of the PTO; retain all official records.
- Recording Secretary: Record and distribute minutes of all Executive Board and General PTO meetings; hold historical records.
- Communications Secretary: Manage communications and marketing (newsletters, email broadcasts, website, bulletin boards, etc.).
- Treasurer: Custodian of PTO finances; collect revenue; pay authorized expenses; report monthly financial activity; prepare year-end financial report; facilitate an annual audit; hold all financial records.
- Finance Committee Chair: Plan, coordinate, and execute fundraising efforts to support PTO programs, events, and initiatives.
- Section 5 — Board Meetings. The Executive Board meets monthly during the school year or at the President’s discretion.
- Section 6 — Removal. An officer may be removed for failure to fulfill duties, after reasonable notice, by majority vote of the Executive Board.
- Section 7 — Vacancy. The President appoints a PTO member to fill a vacancy for the remainder of the term.
Article IV — Meetings
- Section 1 — General PTO Meetings. Held to conduct PTO business monthly during the school year or at the Executive Board’s discretion.
- Section 2 — Voting. Each member in attendance may vote (one vote per member). Absentee or proxy votes are not allowed.
- Section 3 — Quorum. Six (6) members of the PTO present and voting constitute a quorum.
Article V — Financial Policies
- Section 1 — Fiscal Year. July 1 through June 30 of the following year.
- Section 2 — Banking. Funds shall be kept in a checking account in the name of Pleasant Hill Elementary PTO, requiring at least one signature from either the Treasurer and/or the President, held at a local financial institution.
- Section 3 — Reporting. All financial activity recorded in a manual and/or computer-based accounting system. The Treasurer reconciles account(s) monthly and reports monthly. An independent review of financial records occurs each year.
- Section 4 — Ending Balance. A minimum of $5,000.00 remains in the treasury at fiscal year end.
- Section 5 — Contracts. Contract signing authority is limited to the President or the Committee Chair. If a Committee Chair signs a contract on behalf of the PTO, the contract must be forwarded to the President.
- Section 6 — Reimbursement. Reimbursement requests must be submitted within 30 days after the event.
Article VI — Bylaw Amendments
Amendments may be proposed by any PTO member. Amendments presented at a PTO meeting shall be considered for voting at a subsequent meeting. Adoption requires approval by two-thirds (2/3) of members present and voting.
Article VII — Dissolution
In the event of dissolution of the PTO, any funds remaining shall be donated to Pleasant Hill Elementary.
Article VIII — Parliamentary Authority
The authority for this organization shall be Robert’s Rules of Order Newly Revised.
